Terms of Use

By using the worknow.co.nz web site, a hosted service of Worknow Limited (”Worknow” “our” “we”) you agree to be bound by the following terms and conditions (”Terms of Use”), which includes our Privacy Policy.

Your use of the Service constitutes your acceptance of these Terms of Use. By agreeing to these Terms of Use, you also agree to the terms and conditions of any license agreement(s) that affect or are affected by the Service.

You understand and agree that:

  1. You must be 14 years or older to use this site.
  2. You are responsible for any activity that occurs under your registered member name.
  3. You are responsible for keeping your password secure.
  4. You must not abuse, harass, threaten, impersonate or intimidate other Worknow users.
  5. You may not use the Worknow service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
  6. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, jobs, links (”Content”) that you submit, post, and display on the worknow.co.nz service.
  7. You must not modify, adapt or hack worknow.co.nz or modify another website so as to falsely imply that it is associated with worknow.co.nz.
  8. You must not create or submit unwanted email or messages to any Worknow members (”Spam”).
  9. You must not transmit any worms or viruses or any code of a destructive nature.
  10. You must not, in the use of Worknow, violate any laws in your jurisdiction (including but not limited to copyright laws).
  11. Worknow reserves the right to withdraw without notice to any content that may in Worknow’s view be in breach of any clause of this agreement or of any law or regulation.
  12. Violation of any of these agreements will result in the termination of your worknow.co.nz account.
  13. You can cancel your account at any time by sending an email to cancel@worknow.co.nz with your user name in the subject.
  14. You understand and agree that you use the Worknow.co.nz service at your own risk.

We reserve the right to:

  1. Modify or terminate the Worknow.co.nz service for any reason, without notice at any time.
  2. Alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you according to the preference expressed on your account.
  3. Refuse service to anyone for any reason at any time.
  4. Reclaim usernames, profiles, groups or events on behalf of businesses or individuals that hold legal claim or trademark on those usernames.
  5. Remove Content. In its sole discretion, Worknow may (but is not required to) remove content from any account utilising the Service that Worknow deems potentially:
    • A violation of any Worknow policy, including these Terms of Service;
    • Harmful, threatening, false, libellous, defamatory, or otherwise objectionable; Subject to copyright and/or trademark laws or protection; obscene or otherwise objectionable or violates any party’s intellectual property or in violation of other applicable laws, rules or regulations.
    • In the event Worknow is required to remove Content, Worknow may, in its discretion, terminate or deny access to and use of the Service by the owner of the account within which such Content is located. In the case of such termination, Worknow will have no obligation to provide a refund of any amounts previously paid to Worknow.

Service Agreement

Payment for Services:

  1. All Service accounts are available for use and can be accessed if and only if all payments are current. Unless otherwise agreed in writing by Worknow, billing will be at the time of purchase and charged to the credit card furnished for that purpose.
  2. A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number.
  3. If you sign up for a paid account, you will be billed immediately.
  4. The Service is non-refundable. There will be no refunds or credits for partially used services, upgrade/downgrade refunds, or refunds for months or part-months unused with an open account. In order to treat everyone equally, no exceptions will be made.
  5. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only New Zealand taxes.

Refund Policy

Simply, there will be no full or partial refunds.

Rights of Ownership

Intellectual Property:

Subject to and conditional upon the Members compliance with the following Worknow grants to you a non-transferable, non-exclusive licence to access and use the Site for your own viewing and if a registered Member for the purpose of using the Services provided on the site.

You must not copy, reproduce, recompile, decompile, disassemble, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit, or in any way exploit any part of the Site without our prior written consent.

Any modification of the Site content would be a violation of our copyright and other proprietary rights and you must not offer any part of the Site for sale or distribute it in any way, including, but not limited to, a hyperlink frame, or a computer network without our prior written consent.

The Site, the Content and the information contained within the Site must not be used to construct a database of any kind. The Site, the Content and the information contained within the Site must not be stored (in full or in any part) in databases for access by you or any third party or to distribute any database services containing all or part of the service.

Under no circumstances may you make any commercial use of The Site, the Content and the information contained within the Site without our express written consent. Further, Any rights not specifically granted in this Agreement are reserved to us and you do not acquire, by implication or otherwise, any right in or title to any Intellectual Property. The limited licence does not cover access to and use of information or Intellectual Property owned by third parties which appears on the Site.

Copyright:

We claim no intellectual property rights over the material you provide to the Worknow. Your profile and materials uploaded remain yours. You can remove your profile at any time by deleting your account. To delete an account send an email to remove@worknow.co.nz with your username and delete in the subject.

Worknow undertakes to obey all relevant copyright laws. We will review all claims of copyright infringement received and remove content deemed to have been posted or distributed in violation of any such laws. To make a claim, please provide us with the following:

  1. physical or electronic signature of the copyright owner or the person authorized to act on its behalf.
  2. description of the copyrighted work claimed to have been infringed.
  3. description of the infringing material and information reasonably sufficient to permit Worknow to locate the material.
  4. ur contact information, including your address, telephone number, and email.
  5. statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. statement that the information in the notification is accurate, and, under the pains and penalties of perjury, that you are authorized to act on behalf of the copyright owner.

Trademarks:

  1. Worknow, and all other trademarks, service marks, graphics and logos used in connection with the Service are trademarks or registered trademarks of Worknow Limited or Worknow’s licensors.
  2. Other trademarks, service marks, graphics and logos used in connection with the Service may be the trademarks of third parties.
  3. Your use of the Service grants you no right or license to reproduce or otherwise use any Worknow or third-party trademarks and you acknowledge that you have no ownership rights, in and to any of these names and marks.
  4. You must not use the Site, trademarks, trade names, or service marks in any manner which creates the impression that such names and marks belong to, or are associated with you, or are used with our consent, unless we have given prior written consent.

Disclaimer of Warranty:

The Worknow sites and Worknow content are provided on an “as is” basis without any warranties of any kind. Worknow and its owners, suppliers and licensors make no representations or warranties, express or implied, including but not limited to warranties about the accuracy, reliability, completeness, or timeliness of the Worknow content, services, software, text, graphics, and links.

Worknow does not warrant that any Worknow site will operate error-free or that any Worknow site and its servers are free of computer viruses or other harmful mechanisms. if your use of any Worknow site or the Worknow content results in the need for servicing or replacing equipment or data, Worknow is not responsible for those costs.

You understand and agree that you download from, or otherwise obtain Content and services through, the Service at your own discretion and at your own risk, and that Worknow and its owners, suppliers and licensors will have no liability or responsibility whatsoever for any damage (whether to your computer system, data or otherwise) that results from the download or use of such Content or services.

Limitation of Liability:

In no event will Worknow or any of its owners, suppliers or licensors be liable to you or any other party for any direct, indirect, special, consequential or exemplary damages, regardless of the basis or nature of the claim, resulting from any use of the Service, or the contents thereof or of any hyperlinked website, including without limitation any lost profits, business interruption, loss of data or otherwise, even if Worknow, its suppliers and its licensors were expressly advised of the possibility of such damages. In no event will the aggregate liability for any and all of your claims against.

Changes to this policy:

Although changes to our Terms of Use are unlikely to be significant, Worknow may periodically update this policy. We will notify you about significant changes in the way we treat personal information by sending a notice to the primary email address specified in your Worknow account or by placing a prominent notice on our site.
